This research project is an attempt to enlarge our perspective on corporate governance, to make room for new approaches stressing the importance of the knowledge held by a company’s people or corporate social responsibility. Specifically, it examines approaches focusing on the managerial company (Shleifer and Vishny), the dispute among stakeholders for the control of quasi-rents (Rajan and Zingales), and the internalisation of externalities (Tirole). It is hoped this study will yield insights into questions like the functioning of the venture capital market, the recent reform of bankruptcy legislation, the taxation of generational handovers in family businesses, good governance codes, the future European company, etc). The analysis will have a broad enough spectrum to cover all types of businesses operating in Spain, and will combine the interpretation of empirical evidence with an assessment of public policy implications.
